Introduction
These Terms of Service (“Terms”) govern access to and use of SmartKarobar, a business management platform provided by Smart Karobar Pty Ltd (“SmartKarobar”, “we”, “us”, “our”). SmartKarobar consists of a public portal — where businesses seeking investment or acquisition post opportunities, people browse and respond to them, and anyone can use the library, personal tools and create a business — and a business hub where a registered business manages its day-to-day operations. These Terms apply whether you use SmartKarobar on the web or through our mobile apps.
By creating an account, accessing the platform, or using any part of SmartKarobar, you agree to these Terms on behalf of yourself and, if applicable, the business you represent. If you don’t agree, please don’t use SmartKarobar.
1. Who these Terms apply to
These Terms apply to everyone who uses SmartKarobar — individuals browsing the public portal, people posting or responding to opportunities, and businesses running their operations through the hub. If you’re using SmartKarobar on behalf of a company, partnership or other entity, you’re confirming you have the authority to bind that entity to these Terms, and “you” refers to both you personally and that entity.
2. Creating and managing your account
To use most of SmartKarobar you’ll need an account. You register with an email and password, and the account is created once you confirm the email address with a one-time code. Businesses are then set up from that account, and staff join them using a business ID and either their email or an employee ID assigned by that business.
When you register, you agree to give us accurate information and to keep it up to date. If anything material changes — your business’s registered details, your contact email, who’s authorised to act for your business — it’s your responsibility to update it in the platform.
Some parts of SmartKarobar (like posting opportunities or running certain hub modules) may require identity checks, professional details, or business verification before they’re switched on. We may decline or delay access where we can’t verify what we reasonably need to.
3. Account security
You’re responsible for keeping your login credentials confidential and for everything that happens under your account, including actions taken by staff you’ve added to a business. If you become aware of unauthorised access or suspect your account has been compromised, tell us as soon as possible at connect@smartkarobar.com so we can help secure it.
Within a business account, the business itself controls who has access and what role they hold (admin, manager or member), and is responsible for removing access promptly when someone leaves or changes role. We’re not liable for loss caused by a business failing to manage its own team’s access.
4. Acceptable use
SmartKarobar is built to help real people and businesses connect and operate. You agree not to:
- use the platform for anything unlawful, fraudulent, or intended to mislead businesses or other users;
- create a fake or misleading business or personal profile, or otherwise misrepresent who you are or what your business does;
- impersonate another person or business;
- provide fraudulent or misleading information in an opportunity listing, proposal, or business verification;
- use an opportunity or proposal to offer financial products or solicit money in a way that requires a licence, disclosure document or registration you don’t hold;
- attempt to obtain another user’s private information without their authorisation, or access another business’s tenant, data or account without permission;
- interfere with the platform’s security, probe for vulnerabilities, or attempt to bypass authentication or access controls;
- upload content that infringes someone else’s intellectual property, is defamatory, or breaches the confidentiality of a third party;
- use SmartKarobar to send unsolicited bulk communications or spam through the platform’s notification or messaging features;
- reverse-engineer, decompile or attempt to extract the underlying source code of the platform, except to the extent the law says we can’t stop you; or
- use automated tools to scrape data from the platform outside of any API access we’ve agreed to give you.
We may investigate suspected breaches of this section and take proportionate action, including removing a listing or profile, or suspending the account involved while we look into it.
5. Subscriptions, payments and cancellations
Certain SmartKarobar features are available on paid plans, and some actions — such as posting an opportunity — may carry a one-off fee. Current pricing, plan tiers and what’s included in each are set out on our website or within the platform and may be updated from time to time. Where we increase pricing on your plan, we’ll give you reasonable notice before it applies to your next billing period.
Fees are charged in advance for the billing period you select (for example monthly, quarterly or yearly, depending on your plan). You can cancel a paid plan at any time from within your account settings; cancellation takes effect at the end of your current billing period, and you keep access to paid features until then. Where we offer a free trial, we’ll tell you its length and what happens at the end of it, and cancelling before it ends means you won’t be charged.
Our Return & Refund Policy explains cancellations, plan changes and when we refund, and forms part of these Terms. Nothing in it or here affects your rights under the Australian Consumer Law (see section 17).
If a payment fails, we’ll try to let you know and give you a reasonable opportunity to fix it before restricting access to paid features. We don’t store your full payment card details ourselves — where a card payment is taken, that’s handled by our payment processor, and their terms and privacy practices apply to how they handle your payment information.
6. Copyright and intellectual property
Our platform. SmartKarobar — the software, the design, the underlying code, the text and graphics of our website and apps, the SmartKarobar name and logo, and everything that makes the platform work — is © Smart Karobar Pty Ltd or our licensors, and protected by copyright and other intellectual property laws. These Terms give you a right to use the platform; they don’t transfer any ownership of it to you, and you may not copy, modify or redistribute it except as the law allows.
Your content. You keep any intellectual property rights in content you create or upload using SmartKarobar (a quote you’ve written, a project description, an opportunity listing, custom fields you’ve configured), but you grant us the licence described in section 8 to host, process and display that content so the platform can function. You must only upload content you own or have permission to use.
Third-party content. Some library resources, such as embedded videos, belong to their creators and are shown under those creators’ own terms.
Reporting infringement. If you believe something on SmartKarobar infringes your copyright, email support@smartkarobar.com with a description of the work, where it appears on SmartKarobar, and your contact details. We’ll review it and, where appropriate, remove the content and take action under section 4.
7. Your business data
This is important, so we’ll say it plainly: SmartKarobar doesn’t acquire ownership of your business data. Everything you or your team enters into SmartKarobar — customer records, quotes, invoices, orders, project details, timesheets, payroll information, supplier details, financial records and anything else your business puts into the platform — is yours. Your business retains its rights and interests in that data, subject to any rights a third party may already hold in it (for example, personal information about your own customers or staff, which they retain rights in under privacy law even though you’ve entered it into the platform).
We don’t sell your business data, and we don’t use it to train external products or share it with other tenants. Storing your data on our platform doesn’t give us any ownership over it. Our role is to host it securely, process it so the platform can do what it’s meant to do, and make it available back to you.
8. How we process and store your data
To provide the service, you grant us a limited licence to use your business data — solely to store it, back it up, process it through the platform’s features (generating an invoice from a quote, calculating a ledger entry, running a payroll cycle), and display it back to your authorised users. This licence:
- exists only for the purpose of operating SmartKarobar for you;
- doesn’t give us any ownership interest in your data (see section 7);
- isn’t transferable, except to service providers who process data on our behalf to help us run the platform (such as hosting or infrastructure providers), or in connection with a genuine business transfer such as a merger, acquisition or sale of assets, in which case the same protections in these Terms continue to apply; and
- ends when your data is deleted in line with section 12.
Access to your business’s data is scoped to your tenant. Other businesses using SmartKarobar can’t see it, and our own staff only access it where genuinely necessary — to provide support you’ve requested, investigate a technical issue, or meet a legal obligation.
Our Privacy & Cookies Policy explains in more detail what personal information we collect and how we handle it, including under the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
9. Third-party integrations and services
There’s a difference between services we use to run SmartKarobar and integrations you choose to connect. We rely on third-party providers — for hosting, payment processing, and email delivery, for example — to operate the platform; these are covered by our own arrangements with those providers and by our Privacy & Cookies Policy. Separately, you may choose to connect optional third-party integrations (such as Google sign-in). Where you do, that provider’s own terms and privacy practices apply to the parts of the service they handle, and we’re not responsible for their performance, outages, or issues that originate with them.
We select and rely on third-party providers we consider reputable, but we don’t guarantee their continued availability, and we may change providers where reasonably necessary, including where it improves the service or reliability.
10. Availability and maintenance
We aim to keep SmartKarobar available and reliable, but we don’t guarantee uninterrupted access. From time to time we’ll need to carry out maintenance, deploy updates, or respond to issues, which may mean the platform is temporarily unavailable. Where practical, we’ll schedule planned maintenance to minimise disruption and give notice in advance.
We’re not liable for downtime caused by circumstances outside our reasonable control, including issues with third-party infrastructure or internet outages.
11. Updates and changes to the service
We’re continually improving SmartKarobar, which means features may be added, changed, or occasionally retired. Where a change materially reduces functionality you rely on in a paid plan, we’ll give you reasonable notice where practical. We may also update these Terms — see section 19.
Nothing in this section allows us to remove your access to your own data (see sections 7 and 12) without notice, except where necessary to comply with the law or to protect the security of the platform.
12. Suspension and termination
We may suspend or restrict access to an account where we reasonably believe there’s a breach of these Terms, a security risk, non-payment, or a legal or regulatory reason to do so. Where practical, we’ll tell you why and give you a chance to fix the issue before suspending access.
You can close your account and ask us to delete it at any time — see Deleting your account for how. We may also terminate an account on reasonable notice — for example, if a plan or feature is discontinued, or if a business account has been inactive for an extended period.
After an account closes, we keep its data for 60 days so you can export it, then delete or de-identify it, except for records the law requires us to keep — see Data retention. We recommend exporting anything you need before closing your account.
13. Security responsibilities
We take reasonable technical and organisational measures to protect the platform and the data on it, including scoping each business’s data to its own tenant so it can’t be seen by other businesses, enforcing role-based permissions on our servers rather than relying on the interface alone, storing passwords using industry-standard hashing rather than in plain text, and encrypting data in transit. No system is completely secure, and we can’t guarantee that unauthorised access, loss, or misuse will never occur.
You also have a role to play: choosing a strong password, restricting who in your business has admin access, removing access promptly when someone leaves, and telling us promptly if you suspect a security issue. Where a security incident results from your own failure to take reasonable precautions (for example, sharing login credentials), we won’t be liable for resulting loss to the extent that failure caused it.
14. Confidentiality
Through your use of SmartKarobar, we may each come across information about the other that isn’t publicly known — for example, your business’s operational or financial information, or details about how our platform works. Each party agrees to keep the other’s confidential information private, use it only for the purposes of this agreement, and not disclose it to third parties except where needed to provide the service (including to the service providers described in section 8), where required by law, or where the information is already public through no fault of the receiving party. This obligation continues after your account closes.
15. Disclaimers
SmartKarobar is a software platform. It’s a tool to help you run your business — it doesn’t replace, and isn’t a substitute for, professional accounting, tax, legal or financial advice. Figures, calculations, reports and templates generated within the platform are provided to assist you, not as advice, and you should have anything important reviewed by a qualified professional before relying on it, particularly around tax, statutory obligations, or contractual matters.
Opportunities. SmartKarobar is a place for businesses and potential investors or buyers to find each other. We don’t provide financial, investment or legal advice, we don’t recommend or endorse any opportunity, and we aren’t a party to any investment, acquisition or other arrangement made between users. We don’t hold or transfer money for those arrangements. Reviewing an opportunity before it is published checks it against these Terms; it isn’t an assessment of the business or a guarantee that what it says is accurate. Anyone considering an opportunity should do their own due diligence and get independent professional advice. Whoever posts an opportunity is responsible for it complying with the law, including any rules on fundraising and financial products.
Library and tools. Guides, videos and other library resources, and tools such as the EMI calculator, are general information only. They don’t take your circumstances into account and aren’t advice.
Except for guarantees that can’t be excluded under the Australian Consumer Law (see section 17), SmartKarobar is provided “as is” and “as available”, without warranties of any kind about its fitness for a particular purpose, or that it will be error-free or uninterrupted.
16. Limitation of liability
To the maximum extent permitted by law, and subject to section 17 (Australian Consumer Law), our total liability to you arising out of or in connection with these Terms or your use of SmartKarobar — whether in contract, tort (including negligence), or otherwise — is limited to the amount you’ve paid us for the service in the 12 months before the event giving rise to the claim.
We’re not liable for indirect, consequential, or special loss, including lost profits, lost business opportunities, or loss of data to the extent it results from your failure to maintain your own backups or export your data where reasonably able to. Nothing in this section excludes, restricts or limits any right or remedy that cannot lawfully be excluded, restricted or limited, including under the Australian Consumer Law, or liability for death or personal injury caused by negligence, or fraud.
17. Your rights under Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law (ACL) or any other law that can’t lawfully be excluded. Where SmartKarobar is supplied to you as a consumer or eligible small business within the meaning of the ACL, you’re entitled to a service supplied with due care and skill, fit for the purpose it’s commonly acquired for, and delivered within a reasonable time. If we fail to meet a consumer guarantee, you’re entitled to remedies under the ACL, which may include a refund, resupply of the service, or compensation for reasonably foreseeable loss.
We also don’t include, rely on, or attempt to enforce any term in these Terms that would be an unfair contract term under the ACL as it applies to standard form small business contracts.
18. Indemnity
You agree to indemnify us against claims, losses or costs arising from your breach of these Terms, your unlawful use of the platform, or content or data you’ve supplied that infringes someone else’s rights or breaches the law — matters within your own control. This indemnity doesn’t apply to the extent a claim arises from our own negligence, breach of these Terms, or breach of a non-excludable consumer guarantee.
19. Changes to these Terms
We may update these Terms from time to time — to reflect changes in the law, new features, or how we operate. Where a change is material, we’ll give you reasonable notice, such as an email or an in-platform notification, before it takes effect. Continuing to use SmartKarobar after a change takes effect means you accept the updated Terms; if you don’t agree, you can close your account before the change applies.
20. Governing law
These Terms are governed by the laws in force in Australia. You and SmartKarobar both submit to the non-exclusive jurisdiction of the courts of Australia and any courts entitled to hear appeals from them.
